These Terms of Service ("Terms") govern your access to and use of beyondRegular (the "Service"), operated by Eena Private Limited ("we", "us", "our"), a private limited company incorporated in India with its registered office at [14, RADHA KISHNA NAGAR, OLD NO. D03 B13,], [DD NAGAR, Dharamshala [D.D. Nagar], ], [GWALIOR], [MADHYA PRADESH] [474005], India (CIN: [U62013MP2026PTC081331]).

By creating an account or embedding a beyondRegular widget on your storefront, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

beyondRegular provides shoppable video widget infrastructure that brands can embed on their own e-commerce storefronts. We host video content uploaded by you, serve a JavaScript widget on your behalf, and provide analytics on widget impressions and click-throughs.

2. Your Account

• You must provide accurate registration information including a valid email address.
• You are responsible for all activity under your account and for safeguarding your password.
• You must verify your email before creating widgets.
• You must be at least 18 years old or have legal capacity to enter into binding agreements in your jurisdiction.
• One brand account per legal entity. Multi-brand setups require an Enterprise plan.

3. Subscriptions and Payment

The Service is provided on a subscription basis. Subscription fees, billing cycles, and plan limits are displayed on our pricing page and are subject to change with thirty (30) days' notice for renewals.

• All payments are processed via Dodo Payments, our authorized payment processor. We do not store payment card details on our servers.
• For customers in India, subscriptions use RBI-compliant e-mandates. There is a 48-hour processing window for the first charge after mandate authorization, during which your widget remains in a pending state.
• Indian subscription pricing includes applicable GST as displayed at checkout, once we are GST-registered. Until Eena Private Limited crosses the ₹20 lakh turnover threshold, no GST is charged.
• International customers are billed in USD. Tax calculation for international customers is the customer's responsibility unless we are required to collect under local law.

4. Cancellation and Refunds

All subscription fees are non-refundable. You may cancel your subscription at any time from your account settings. Upon cancellation:

• You retain access to paid features until the end of your current billing period.
• After the period ends, embedded widgets on your storefront will pause (cease serving content).
• Your account data - presets, videos, analytics - is preserved indefinitely and will be available when you reactivate.
• No partial-period refunds are provided regardless of when you cancel within a billing cycle.

See our Refund Policy for full details. This stance is consistent with the treatment of digital goods under the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020.

5. Acceptable Use

You agree NOT to use the Service to upload, host, or distribute content that:

• Infringes intellectual property rights of any third party
• Is unlawful, defamatory, obscene, or violates community standards
• Contains malware, viruses, or other harmful code
• Misrepresents goods, services, or pricing
• Targets minors or vulnerable populations with inappropriate material
• Violates any applicable Indian or international law

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice, and to cooperate with law-enforcement requests.

6. Your Content and Ownership

• You retain all ownership rights to videos, images, and content you upload ("Customer Content").
• You grant Eena Private Limited a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Customer Content solely as necessary to provide the Service to you.
• This license terminates when you delete content or close your account, except where we are required to retain data for legal or anti-fraud purposes.

7. Embed License

For the duration of an active subscription, you are granted a non-exclusive, non-transferable license to embed the beyondRegular widget on storefronts that you own or operate. Upon subscription expiry or cancellation, the embed will cease serving content. You may NOT redistribute, white-label, or resell the widget except under an Enterprise plan with explicit written permission.

8. Service Availability

We target 99.5% uptime but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages (CDN, payment processor, hosting provider), and force majeure events may cause temporary unavailability. We do not provide service credits for downtime on standard plans.

9. Limitation of Liability

To the maximum extent permitted by law, Eena Private Limited's total liability for any claim arising from your use of the Service is limited to the amount you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, or business interruption.

10. Termination by Us

We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or engage in activity we reasonably believe to be unlawful or harmful to other users or third parties.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at [GWALIOR], [MADHYA PRADESH], India.
